AG Angra is a private equity firm in Brazil and the general partner of AG Angra Infra-Estrutura Fundo de Investimento em Participações (“AG Angra Infra-Estrutura” or the “Fund”). In accordance with the Fund’s Bylaws and the applicable legislation, AG Angra is responsible for, among other duties, identifying, analyzing and executing investment and divestment decisions, as well as for monitoring portfolio companies.
AG Angra is a joint-venture between Andrade Gutierrez S.A., the holding company of the Andrade Gutierrez Group, and Angra Partners Consultoria Empresarial e Participações Ltda., a financial advisory services and asset management firm. AG Angra’s shareholders have a proven track record in private equity transactions, investing in the infrastructure sector, mergers and acquisitions, and company restructuring.

AG Angra Infra-Estrutura Fund
AG Angra Infra-Estrutura Fundo de Investimento em Participações (“AG Angra Infra-Estrutura” or the “Fund”) is a Private Investment Fund - “FIP“, incorporated in accordance with CVM Instruction 391/03 and by the Fund’s Bylaws. The purpose of the Fund is to invest in Brazilian infrastructure ventures, acquiring privately negotiated control or joint-control equity positions, always playing an active role in the management of investee companies.

- Term: 10 years, unless further extended for up to two additional two-year periods.
- Investment period: 5 years from the Closing Date
- Diversification limits: investments in a single company shall be higher than R$ 20 million and shall not represent more that 20% of the capital committed.
- The Fund shall invest in equity or convertible securities issued by private or public companies whose business is related to the infrastructure sector.
The treasury, accounting and custody activities of the Fund are conducted by an independent administrator, named BEM DTVM Ltda., which is an affiliated company of Bradesco, the largest Brazilian commercial bank.
